Annal Nayyar updates on the the DFE Supporting documents for schools converting to academies -Model Memorandum and Articles of Association

Model Memorandum and Articles of Association

Academy trusts are charitable companies limited by guarantee and are the entities that enter into funding agreements with the Secretary of State to establish academies. In order to set up an academy trust, the Memorandum of Association will need to be completed and the Articles of Association will need to be drawn up and agreed with the Secretary of State and registered with Companies House.

The Memorandum of Association sets out the name of the academy trust and provides for details of the three subscribers who wish to form the academy trust and become its members under the Companies Act 2006. The Articles of Association prescribe the internal management, decision making and running of the academy trust and its liability. The Memorandum and Articles of Association will be annexed to the funding agreement for each academy.

Converting schools are not expected to make changes to the model Memorandum and Articles of Association. Schools should also note that before they incorporate the academy trust, using the latest version of the Memorandum and Articles of Association, they must clear the Articles with the Department
